From VS2003, File --> New -->Project -->Visual C# Project -->ASP .NET Web
But I can't find project in VS 05.
From VS2005, File -->New File-->Web -->C# -->(Web Form, Web User Control,
Web Service,Style Sheet, Web Configuration File, Text File, Generic handler,
VBScript File, Master page, HTML Page, Class,Global Application Class,
XML File, Resource File, Site map, JScript File), but no PROJECT.
No IIS installed in my Local PC, that could cause the problem ?

With VS 2005 Web-Site projects are now peers of the "New Project" items (instead of being in the New Project Dialog). So now you choose File->New->Web-Site instead of File->New->Web Project to create one.

P.S. There is also a new option to have VS 2003-style web application projects in VS 2005. You can learn more about it here:
http://webproject.scottgu.com. These are installed under the File->New Project dialog.
