So there is no way that I can use System.Data.Odbc with VS2002?

Hell yes there is a way! Where there is a will, there is a way. Remember that System.Data.Odbc isn't an actual assembly, it's a namespace inside the System.Data.dll assembly.
Do the following to resolve the problem of compiling:
Go to your project, right click, and bring up the properties.
Select References Path
Click the folder to add a new line
Add: C:\WINDOWS\Microsoft.NET\Framework\v1.1.4322 (or wherever your installation is located)
You're done! That's it. It should work just fine, including your intellisense. The problem is that by default VS 2002 looks at your .NET 1.0 set of assemblies... you have to manually tell it to look at 1.1 on a project by project basis.
Your project should compile just fine.
