I just had this come up on my W2K3 server - the cause turned out to be a custom Event Log that was filled with events less than 7 days old, so they could not be overwritten due to the default policy for the log.
Sysinternals procmon (the replacement for regmon) did not show any registry permissions problems, so I knew the problem was elsewhere.
I typically access this server remotely, so didn't see the message box on the physical display until I went to reboot the server.
