The best I can suggest is to open your project in VS 2005 and start fixing the errors, one at a time, while keeping a copy of the old project for reference. When fixing an error, be sure to check why it must be changed, but looking up the class, property,
method etc. on MSDN and understand why it is a necessary change. That will give you some insight into the 2.0 version of the framework. I have to ask, knowing that this is probably a requirement from a client or your boss, but why upgrade to 2.0, and not 3.5
or even beta 2 of 4.0?

You have a couple different options here. In my experience you can't just run the wizard and upgrade most applications from .net 1.1 to .net 2.0. You have to follow a set of steps to insure success. Belows article discusses your different options and
the second article shows how to troubleshoot issues between conversions.
