I want to use a third party dll developed in VS2005 in my Vs2003 project.
On adding the reference it throws an error "This is not avalid assembly or com component."
Any help is appreciated.

Try using the <supportedRuntime> element in the app.config file so the .NET 1.1 app runs on the V2.0 CLR.
Something like this :

Only one version of a framework can be loaded into a given process. Since large parts of VS itself are written in .NET 2.0, the 2.0 framework is already loaded into the VS process. At this point 1.1 cannot be added, this is CLR limitation.
