I've had this and many other issues. As you have found, there are some bugs in the VS2005 build process, which should be fixed with the pending Service Pack 1.
I did get the hot-fix from Microsoft which changed, rather than eliminated the problems.
For now I just add some or remove space characters to the Web User Control file that is causing the issue, which seems to force a deeper rebuild.
You can also delete all of the files in the ASP.NET temp build folder
It was also interesting that one of my "Circular Reference" projects built on a "clean" PC at Microsoft, but not on mine. I am told by Microsoft that if you have had the VS2005 BETA on the same PC in the past, that this can cause issues.
My auto-web site builder software creates .Net 2 web sites on the fly from a design and uses nested folders. I am not going to the expense of rebuilding the system to use a flat folder structure, I will have to put up with the issue for now.

Q1 : In the error log, if you double click one of the errors, the (WUC) Web User Control ASCX page is opened. I type a space at the bottom of the page, or delete a space if there is one there. It simply marks the file as changed, and forces it to be rebuilt
- which seems to eliminate the problem. However, in a few build's time, it can come back. This problem has only been an issue during development for me, although when I did a publish a demo to the server from one of my dynamically created web-apps, I couldn't
get a build if allowing the web site to be updateable.
