First, make sure you install the correct version of the AjaxControlToolkit:
2008-02-29 release of the AJAX Control Toolkit targets the official release of .NET Framework 3.5 and Visual Studio 2008.
You can also download the Toolkit for .NET Framework 2.0, ASP.NET AJAX 1.0 and Visual Studio 2005.
April 12, 2010 release of the AJAX Control Toolkit for ASP.NET 3.5 Service Pack 1 and Visual Studio 2008 SP1.
Then try to add the Ajax Control Toolkit to the Visual Studio Toolbox step by step at:http://www.asp.net/ajaxlibrary/act.ashx.

Basically download the correct version of the ajax control tool kit library.
Then right click on the tool box -->choose items --> browse --> select the path where you have copied the dll's --> get into the sample website folder--> get into the bin directory and then select the dll ....
Also keep in mind that which targeted version of the framework is selected... if you are working on VS2008 and are targeted to 2.0 version of the framework sometimes you wont be able to add the ajax control tool kit properly...

Basically, when you browse to locate the controls,
navigate to the ajax control toolkit solution folder ( source code that you can download from codeplex)
and once you build the solution, you will see folder named obj.
select the dll from the folder and
that should display all the controls in the ToolBox.
